Glenn T. Dodd

Glenn T. Dodd is a managing partner of Dodd Mason George LLP. His practice includes representation of individuals, publicly and privately held companies and financial institutions, and their respective directors and officers, in business transactions and regulatory matters including (i) mergers and acquisitions; (ii) public and private equity and debt financing; (iii) employment agreements and compensation plans including stock options and warrants, incentive bonus, salary deferral, continuation and supplemental benefits arrangements; (iv) lending; (v) organization and governance of public and private business entities including corporations, limited liability companies, partnerships, joint ventures and subsidiaries; (vi) securities registration, qualification and issuance requirements under the Securities Act of 1933 and periodic reporting and proxy solicitation requirements under the Securities Exchange Act of 1934; (vii) rules and regulations of the government agencies such as the Securities and Exchange Commission, the California Department of Business Oversight and its Division of Corporations and Division of Financial Institutions, the Board of Governors of the Federal Reserve System, the Federal Deposit Insurance Corporation and the Office of the Comptroller of the Currency; and (vii) director and officer liability.

Glenn was formerly a partner in the San Jose office of Coudert Brothers LLP (1997-2002), managing partner of the San Jose office of Bronson, Bronson & McKinnon LLP (1992-1997) and a partner (shareholder) in the San Jose office of Rosenblum, Parish & Bacigalupi Professional Corporation (1987-1992). From 1978 to 1987, Glenn held various positions, including Senior Vice President, General Counsel and Secretary and member of the executive management of a publicly held holding company, Cobanco, Inc., and its subsidiaries, including County Bank and Trust, Santa Cruz, California.

Education

Glenn received his J.D. from California Western School of Law at San Diego in 1975 and his B.A. from California State University at Fullerton in 1972.

Professional Associations

Glenn is a member of The State Bar of California (Business Law Section). He is admitted to practice before all California state courts and the United States Court of Appeals for the Ninth Circuit. Glenn has participated at board and management strategic planning retreats and in seminars with investment bankers, accountants and other professionals on subjects of interest to clients. His past service affiliations have included the San Jose Bank Attorneys Association as Chairman and Co-Founder, the Legal Affairs Committee of the California Bankers Association, the Santa Cruz Cabrillo Music Festival, and Rotary International.

 

 

 

 

Joseph G. Mason

Joseph G. Mason is a managing partner with the law firm of Dodd Mason George LLP. He specializes in corporate and securities law, banking and commercial transactions for public and privately held companies, both domestic and international, including technology start-ups. He also advises on a broad range of regulatory matters, as many of his clients are banks and bank holding companies and other financial institutions, subject to regulation by government agencies such as the Securities and Exchange Commission, the California Department of Business Oversight and its Division of Corporations and Division of Financial Institutions, the Board of Governors of the Federal Reserve System, the Federal Deposit Insurance Corporation and the Office of the Comptroller of the Currency.

Joe was formerly a partner with Coudert Brothers LLP (1997-2002), a partner with Bronson, Bronson & McKinnon LLP (1992-1997) and a shareholder (partner) in Rosenblum, Parish & Bacigalupi Professional Corporation (1981-1992). Prior to entering the private practice of law, Joe was Senior Counsel in the Legal Department of Bank of America National Trust and Savings Association (1969-1981). He started legal department offices in Tokyo (1975) and in Hong Kong (1978) and had wide involvement in the support of commercial banking branches, affiliated merchant banking, finance and leasing companies and related administrative units throughout the Asia-Pacific region.

Joe represents individuals and companies in a variety of public and private debt and equity financings, loan and lease transactions, venture capital and project financing, mergers and acquisitions, international trade finance, licensing and distribution agreements, joint ventures and various executive compensation arrangements.

Education

Joe received his B.A. from the University of Michigan in 1964 and his J.D. from the University of Michigan Law School in 1968. He is a real estate broker, licensed by the California Bureau of Real Estate (license number 01478285).

Joe is a member of State Bar of California (Business Law Section). Joe is admitted to practice before all California state courts and the United States Court of Appeals for the Ninth Circuit.
